The purchase of any image from woodlandpictures requires you to agree to our licensing terms and conditions. During the purchase process you will have the option to agree to these and continue through with your purchase, or to decline and thus exit the facility.

The licensing terms and conditions are as set out below and apply to all images sold through woodlandpictures.

Licensing Terms & Conditions of the reproduction of images

In this Agreement:

Definitions and interpretation

In this Agreement except where a different interpretation is clear from or necessary in the context the following terms shall have the following meanings:

• “Agreement” means these Licensing Terms and Conditions, Website Terms and Conditions, Order Form and Email Acceptance of the Order.
• “Email Acceptance” means the email confirming the order has been received and the image/s will be dispatched.
• “Image” means any item, which may be offered for the purpose of reproduction and is made available via this web site.
• “Licence Fee” means the fee payable for the Image.
• “Order Form” means the form completed by You to supply your details relating to the purchase.
• “One off” use means the 'off one' reproduction only of the Image purchased from and supplied by woodlandpictures to the Customer, without restriction on reproduction format/media, size used, territory, print run, circulation or cropping/manipulation; but with restriction on re-use in any manner now or yet to be invented. 
• “You” or “Customer” means the person or entity named as the recipient to whom the image has been or will be supplied.
• “We” and/or “Us” means Woodland Trust, Woodland Trust Picture Library, Woodland Trust Enterprises Ltd or woodlandpictures. 
• “Website” means woodlandpictures.com

1. Licence of rights

1.1.   Subject to the receipt of the payment in full of the licence fee, We grant to You a non-exclusive, non-transferable reproduction right for 'one off' use.

1.2.   All copyright and other rights in each Image are and shall be the property of Us either in full or acting on behalf of a contributing photographer.

1.3.   We licence You for the duration of this Agreement the right to use the trademark ‘woodlandpictures' for the sole purpose of providing a credit as set out in clause 6.2.1. All goodwill arising from the use of such trade mark shall accrue exclusively to the benefit this Website.

2. Payment

2.1  All payments must be made in full prior to any Image being supplied to the You by Us. Once payment is received, We will supply the Image within to You as soon as reasonably possible by the delivery method chosen by You.

3. Price

3.1  All prices are quoted in Pounds Sterling. We cannot accept payment in any other currency.

3.2  The price shown for each Image is inclusive of VAT and first class postage/packing (where applicable).

3.3  We reserve the right to alter the prices quoted from time to time at our absolute discretion.

4. Payment & Formation of Contract

4.1  Payment wil be made by You online via Secure Trading and You will receive an automated confirmation email of your purchase. Woodlandpictures will also receive confirmation of your purchase and on receipt of this your Image will be processed and supplied.

5. Data Protection & Privacy

5.1  All Customer’s details are held in accordance with the woodlandpictures Privacy Policy.

6. Customers Restrictions on licenced use and Obligations

6.1  You undertake and agree:

6.1.1 to ensure that no Image is manipulated, altered, added to, edited or used in any way including any which will or is likely to damage the reputation, bring into disrepute or which may be detrimental to or disparaging to Us.  It shall be the sole responsibility of You to ensure that in the use of any Image, it does not;-

(a) defame, libel or slander any person;

(b) infringe any rights of privacy, confidentiality or publicity of any person (or any similar analogous or related personal rights);

(c) infringe any copyrights, trade marks or other rights of any person;

(d) breach any relevant laws, rules, codes or guidelines;

(e) use any Image other than in accordance with the terms of the licence granted herein.

You accordingly accept that We shall have no responsibility or liability of any nature whatsoever with respect to the foregoing matters;

6.1.2 not to use any Image if notified by Us that such Image is or may be subject to any legal proceedings or may subject Us to any liability;

6.1.3 that in the event that any Image is used for web publishing, You will ensure that the ‘terms of use’ of the website where the Image is published will contain a provision prohibiting the downloading of such Image by others;

6.1.4 that no more than one copy of the original Image supplied to You will be created for Your use and that upon such use both the original supplied Image and any second copy made shall be immediately deleted in full.

6.2 You further undertake and agree:

6.2.1 to display Us next to the Image or in an otherwise appropriate and prominent place a credit “woodlandpictures.com/photographer name (as supplied)” (or such other credit as We may reasonably specify) but otherwise not to make any credit to Us in or in relation to the Image and its exploitation;

6.2.2, to provide Us with a sample of any product in which any Image licensed hereunder is utilised;

6.2.3 that You are 18 years or over in age and that if You are purchasing the use of any Image on behalf of a company or partnership that You have the necessary authority to do so;

6.2.4 that if You are required to use a user name and password You will maintain the secrecy of your username and password.

7. Warranties

7.1  We give no warranty about the accuracy of any description of any Image and accept no liability in the event of such description proving inaccurate.

8. Termination

8.1  This Agreement shall terminate immediately, if there is a breach by You of any of the material obligations under this Agreement;

8.2  If any breach under this Agreement is capable of remedy You will be given written notice and 30 days to remedy the breach if you have failed to remedy the breach within 30 days after receipt of the written notice this Agreement will terminate immediately;

8.3  We may terminate this Agreement with immediate effect by written notice to You if We reasonably believe that it will become subject to any material costs (including legal costs), damages, loss or liability howsoever arising as a result of or in connection with the use by You of the Image(s);

8.4  Save where otherwise provided herein or where the context otherwise requires, all rights and obligations of You and Us shall cease to have effect immediately upon termination of this Agreement except that termination shall not affect accrued rights and obligations at the date of termination;

8.5  Upon termination of this Agreement:

8.5.1 You shall delete all copies of Image(s) licensed hereunder which You may have in your possession or under your control and shall procure that all third parties shall delete all copies of such Image(s) which such third parties may have in their possession or under their control;

8.5.2 without prejudice to any right to damages for Us, We may require You to immediately pay to Us all sums owing and which will become due under this Agreement in respect of Image(s) licensed hereunder;

8.5.3 You shall cease all use of Image(s) licensed hereunder.

9. Indemnity

You hereby agree to indemnify Us against any loss injury or damage actions claims proceedings demands costs (including all legal costs and any compensation costs and disbursements paid by Us to compromise or settle any claim) occasioned to Us by any claim action or threatened proceedings which are the consequence of any breach of this Agreement.

10. Liability

Notwithstanding anything else contained in this Agreement We shall not be liable to You for any loss injury or damage actions claims proceedings demands or costs incurred or suffered by You where the same arise from loss of data or corruption of data loss of programs loss (whether direct or indirect) of goodwill reputation profits business or business opportunities or anticipated savings or for any special indirect incidental or consequential loss or damage whatsoever even if We shall have been advised of the possibility thereof and whether arising from negligence breach of contract breach of statutory duty or howsoever.

11. Force majeure

Without prejudice to the provisions of the Agreement neither We or You shall be under any liability for any loss or for any failure to perform any obligation hereunder due to causes beyond their control including without limitation industrial disputes of whatever nature acts of God or hostilities.

12. General

12.1 Where 2 or more legal entities constitute Us and/or You the liability shall be joint and several;

12.2 This Agreement may not be assigned by either party to any other person nor may either party sub-contract any of its obligations to any other person without in either case the prior consent of the other;

12.3 Unless otherwise expressly stated in these Terms, all notices from you to us must be in writing and sent to our contact address at woodlandpictures/Woodland Trust Picture Library, Autumn Park, Dysart Road, Grantham, Lincolnshire, NG31 6LL;

12.4 The failure of any party to enforce any provision on any one occasion shall not affect its right to enforce another provision or the same provision on another occasion;

12.5 Nothing in this Agreement shall create or be deemed to create a partnership or the relationship of principal and agent between the parties and You shall have no right or authority to bind or to make any representation or warranty on behalf of Us;

12.6 If any provision of this Agreement is void or unenforceable or renders the Agreement or any part of it void or unenforceable then that provision shall be severable from the remainder of the Agreement which shall continue in force and be construed as if such provision had never been contained therein;

12.7 This Agreement shall be governed by and construed according to the laws of England and the parties submit to the jurisdiction of the English Courts.
